Terms & Conditions

Effective Date: 15th September, 2025

1. Scope

These Terms govern your use of sysbioz.com ("Site") and services offered by Sysbioz Solutions Pvt. Ltd. ("Sysbioz", "we", "our", "us"). By engaging with us, you accept these Terms, our Privacy Policy, and applicable local laws.

2. Definitions

  • "Client" means any individual or entity that engages Sysbioz for services.
  • "Services" means software development, consulting, support, audits, or any IT services provided by Sysbioz.
  • "Deliverables" means custom code, documents, reports, or other outputs created under a Statement of Work (SOW).
  • "Confidential Information" means proprietary information disclosed by one party to the other, whether oral, written, or digital.

3. Services

We provide:

  • Custom software development (web, mobile, cloud).
  • Consulting, support, and maintenance.
  • Security & compliance services (DevSecOps, audits).
  • Other professional IT services as mutually agreed in writing.

4. Governing Law

  • For Indian clients: these Terms are governed by the laws of India, subject to the jurisdiction of Ahmedabad, Gujarat courts.
  • For international clients: disputes will be governed by Indian law, unless otherwise agreed in the project contract.

5. Compliance with Regulations

  • We adhere to the Indian IT Act, 2000 and SPDI Rules for data protection.
  • For EU/EEA clients, we comply with GDPR.
  • For US clients, we align with CCPA (California) and other relevant state laws.

6. Confidentiality & NDAs

  • Both parties agree to protect Confidential Information.
  • On request, a Non-Disclosure Agreement (NDA) will be executed.
  • Confidentiality obligations survive termination of the project.

7. Intellectual Property Rights

  • Sysbioz retains rights in pre-existing tools, frameworks, and code libraries.
  • Upon full payment, ownership of custom deliverables transfers to the client unless otherwise agreed.
  • Clients must ensure that any content, data, or materials they provide do not infringe third-party rights.

8. Payment Terms

  • Project fees, milestones, and deposits will be defined in the Statement of Work (SOW).
  • Delays in payment may result in suspension of services.
  • Taxes and statutory deductions (GST, TDS, etc.) are payable as per Indian law.
  • All payments are non-refundable, unless otherwise agreed in writing.

9. Warranties & Limitations

  • We warrant services will be delivered professionally, using industry standards.
  • We do not warrant error-free or vulnerability-free software.
  • Sysbioz is not liable for loss of profits, indirect damages, or business interruption.
  • Liability is capped at the amount paid by the client for the specific service.
  • Sysbioz does not guarantee the commercial success or ROI of any deliverables.

10. Third-Party Services Disclaimer

  • Deliverables may rely on third-party APIs, hosting, tools, or libraries.
  • Sysbioz is not responsible for downtime, changes, or discontinuation of third-party services.

11. Indemnification

Clients agree to indemnify Sysbioz against claims arising from:

  • Content/data provided by the client.
  • Client misuse of deliverables.
  • Breach of laws or third-party rights by the client.

12. Data Protection & Ownership

  • Sysbioz follows reasonable security practices (per Indian IT Rules).
  • Clients own their data but grant Sysbioz a limited right to process/store it for service delivery, backups, and legal compliance.
  • Clients are responsible for maintaining their own backups and configurations.
  • For regulated projects (HIPAA, SOC2, ISO 27001, etc.), additional compliance obligations may be added by contract.

13. Termination

  • Either party may terminate on 30 days' written notice for material breach not cured within that period.
  • On termination, the client must pay for all work completed up to the termination date.
  • Certain obligations (confidentiality, indemnification, payment due) survive termination.

14. Force Majeure

Sysbioz will not be liable for delays or failure to perform due to events beyond our reasonable control, including natural disasters, strikes, internet outages, government restrictions, pandemics, or acts of war.

15. Dispute Resolution

  • Parties will first attempt to resolve disputes amicably through negotiation.
  • If unresolved, disputes will be referred to arbitration under the Arbitration and Conciliation Act, 1996 (India).
  • Seat of arbitration: Ahmedabad, Gujarat, India.
  • Language: English.

16. Changes to Terms

We may update these Terms occasionally. The updated version will be posted on this Site with the "Effective Date." Continued use of our Site or Services implies acceptance.
